Legal Counsel with knowledge of Corporate M&A/Finance – Randstad


Make more of your expert knowledge of investment transactions in this highly visible role of Legal Counsel at a dynamic, global in-house asset management company.


Our client is an asset manager for pension funds and insurance companies, operating under a Dutch AIFM licence including MiFID II services. It’s a dynamic, global environment with clients in different countries and more than 160 professionals. They are licensed as a fund manager and provide portfolio services. Continuous change in the financial markets and in financial regulations make this a professionally challenging place to work – regulations and compliance are at the very top of the agenda.

As part of the Legal & Compliance department, you’ll work alongside five Legal Counsel, two
Compliance Officers, an Assistant Compliance Officer and a paralegal to provide timely, efficient, high quality legal advice.


This is a visible and vital role, with great opportunities and expectations to work independently with plenty of exposure. You will work closely together with the front office team. The work is varied, due to the wide range of the portfolio.

More specifically, your key accountabilities include:
• Participate in project teams to provide pro-active legal advice and support to the business by reviewing and negotiating a wide variety of investment agreements across asset classes, such as private equity and hedge funds.
• Draft, review and negotiate legal transaction documentation for existing and new investment funds.
• Draft and review existing and new investment management agreements with clients or external managers.
• Provide legal support on the restructuring of investment structures.


You’re a seasoned lawyer or in-house legal counsel in the financial industry, with relevant legal qualifications and experience. You have a strong track record in providing legal support in respect of corporate/M&A and finance transactions. You have extensive experience in drafting and negotiating transaction documentation for investments preferably across various asset classes. Knowledge of financial services regulatory compliance is a plus. You have a pragmatic and efficient approach with the drive to get the transaction done. Working on investment transactions energizes you.

Beyond that, your CV should include as many of the following as possible:
• Excellent written and verbal communication skills in Dutch and English.
• A solid understanding of investment transactions in relation to asset management.
• A proven ability to clearly explain and present risks to commercial colleagues.
