For Lineage Logistics, an extremely fast growing, PE-owned and USA-based logistics company, we are looking for a Senior Legal Counsel-Europe.

Organisatie

The Senior Legal Counsel- Europe will be a sophisticated, business-oriented attorney that can work effectively across all levels of the organization. He or she will represent the European organization in a broad range of areas including commercial contracting, real estate and corporate transactions, and corporate governance. Additionally, the Legal Counsel may be exposed to other areas of law and will work directly with business leaders and the company’s private equity sponsor, on a variety of projects.

Functie

The Legal Department currently consists of 13 people globally (US: 8, Europe: 4, APAC: 1). The Senior Legal Counsel- Europe reports directly to the Associate General Counsel – Europe and will be dedicated to the Europe region. This region includes The Netherlands, Belgium, Germany, United Kingdom, Denmark, Norway, Poland, France, Italy and Spain.

Functie-eisen

• Must have at least 8 years of relevant experience gained in a top tier law firm and/or as in-house counsel. A mix of in-house and law firm experience is preferred, but not necessary.
• Must have a Dutch Law degree.
• Thorough understanding of corporate and contract law.
• Experience and proven skills in drafting and negotiating commercial contracts, purchase agreements, merger and acquisition documents, related documentation, and corporate documents.
• Strong business instincts and acumen.
• International transactional experience.
• Must be willing to work in a fast-paced, growing company and adjust quickly to change.
• Must be able to manage multiple competing requests and ensure that projects are completed on a timely basis.
• Excellent interpersonal, client management and relationship and project management skills.
• Must work well independently and within a team, including the ability to work closely with all levels of
management and staff.
• Demonstrated ability to deal successfully with complex issues and a broad array of stakeholders.
• Ability to translate legal complexities into terms readily understood by management and line personnel.
• Desire to learn new areas of law and assist the legal team and the business as needed on a wide variety of projects.
• Excellent analytical, research and reasoning skills.
• Excellent written and verbal communication skills.
• Ability to travel on a regular basis.
• Fluent in English; fluency in other relevant languages is a plus.
• Must possess the highest professional ethics, good judgment and initiative.

Aanbod

• Provide strategic leadership and legal advice for the European region, working closely with the Associate General Counsel – Europe, the rest of the Legal Team in Europe and the US, the European Leadership Team, as well as regional, national and facility leadership to develop processes, forms and procedures to support all regional business lines.
• Provide cross functional leadership on various strategic and departmental projects both within the region and globally.
• Provide day-to-day legal support on all issues related to the European organization, including customer contracts and operations, regulatory compliance, construction, leasing, expansions, claims, disputes, and vendor contracts, while remaining adaptive to changing priorities within a fast-paced environment.
• Provide first-chair in house legal support to the European Leadership Team and the PE owner with respect to M&A, real estate/facility acquisitions and expansion and development projects, including documenting, negotiating, managing, and closing such transactions.
• Perform corporate responsibilities for the various legal entities that are part of the European organization; advise and coordinate with the US legal team regarding and preparation of corporate documentation, including restructurings, corporate minutes, annual accounts etc.
• Provide legal advice in response to requests from various business lines.
• Provide effective strategic leadership for specific projects, including coordinating and directing third party advisors and colleagues from other functional groups.
• Work collaboratively, proactively and responsively with a broad range of colleagues locally and internationally on a variety of legal and strategic projects, ensuring good relationships between Legal, HR, Finance, IT, Operations, and other departments to facilitate a coordinated team approach.
• Manage outside counsel for corporate, finance, litigation, employment, or real estate matters.
