As part of the Legal & Compliance department, you’ll work alongside five Legal Counsel, two
Compliance Officers, an Assistant Compliance Officer and a paralegal to provide timely, efficient, high quality legal advice.

Functie
This is a visible and vital role, with great opportunities and expectations to work independently with plenty of exposure. You will work closely together with the front office team. The work is varied, due to the wide range of the portfolio.
More specifically, your key accountabilities include:
• Participate in project teams to provide pro-active legal advice and support to the business by reviewing and negotiating a wide variety of investment agreements across asset classes, such as private equity and hedge funds.
• Draft, review and negotiate legal documentation for existing and new investment funds.
• Draft and review existing and new investment management agreements with clients or external managers.
Following your own experience, needs in the team and your interests, you will be more or less concerned with:
• Review and negotiate legal documentation for the Treasury & Trading department, such as broker agreements, trading infrastructure agreements, OTC-derivatives contracts (ISDAs, CSAs, MCAs), repos, securities lending, and other related documentation.
And/or,
• Provide legal support on structuring and establishing investment funds with various asset classes on topics as AIFMD, Mifid II, UCITS and Brexit and other regulatory topics.

Functie-eisen
You’re a seasoned lawyer or in-house legal counsel in the financial industry, with relevant legal qualifications and experience. You have a strong track record in providing legal support in respect of investment management/derivatives/capital markets. You have extensive experience in drafting and negotiating transaction documentation for investments preferably across various asset classes. You have a pragmatic and efficient approach with the drive to get the transaction done.
Beyond that, your CV should include as many of the following as possible:
• Excellent written and verbal communication skills in Dutch and English.
• A solid understanding of current Dutch and applicable international regulatory developments in financial services legislation in relation to asset management.
• A proven ability to clearly explain and present regulatory risks to commercial colleagues.
